1. Acceptance of Terms
Welcome to Fleex Driver. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Driver," "you," or "your") and Fleex ("Company," "we," "our," or "us") governing your use of the Fleex Driver mobile application ("App") and related services.
By creating an account, accessing, or using the Fleex Driver app, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use the App or provide driver services through the Fleex platform.
2. Definitions
- "App": The Fleex Driver mobile application available on Android devices
- "Platform": The Fleex ride-hailing and delivery marketplace
- "Driver": An independent contractor who provides transportation or delivery services using the Platform
- "Passenger": A user who requests rides through the Fleex Passenger app or via our call center
- "Ride": A transportation service from pickup to dropoff location
- "Delivery": A package or food delivery service
- "Service": Transportation or delivery services provided by drivers to passengers
- "Fare": The amount charged to passengers for a ride or delivery
- "Commission": The percentage of the fare retained by Fleex
- "Earnings": The portion of the fare paid to the driver after commission
3. Eligibility and Driver Requirements
To use the Fleex Driver app, you must meet the following requirements:
3.1 Age and Legal Capacity
- You must be at least 18 years of age
- You must have the legal capacity to enter into binding contracts under Mauritanian law
- You must be legally authorized to work in Mauritania
3.2 Driver's License
- You must hold a valid driver's license issued by Mauritanian authorities
- Your license must be appropriate for the vehicle type you operate (car, motorcycle, toktok)
- Your license must not be suspended, revoked, or expired
- You must provide proof of your driver's license during registration
3.3 Vehicle Requirements
- You must own or have legal permission to operate the vehicle
- The vehicle must be properly registered with Mauritanian authorities
- The vehicle must be in safe, operable condition
- The vehicle must meet minimum safety standards (working lights, brakes, seatbelts)
- The vehicle must match the type you registered in the App (car, motorcycle, toktok)
3.4 Insurance
- You must maintain valid vehicle insurance as required by Mauritanian law
- Your insurance must cover commercial use (ride-hailing and delivery services)
- You must provide proof of insurance during registration and upon renewal
- Fleex does not provide vehicle insurance to drivers
3.5 Device Requirements
- You must have a smartphone running Android 5.0 or higher
- Your device must have GPS capabilities and a camera
- You must maintain an active internet connection (mobile data or WiFi)
- You must keep the App updated to the latest version
Failure to meet or maintain these requirements may result in account suspension or termination.
4. Independent Contractor Relationship
4.1 No Employment Relationship
You acknowledge and agree that:
- You are an independent contractor, not an employee, agent, or partner of Fleex
- You have no authority to bind Fleex to any obligation or contract
- You are responsible for your own taxes, social security contributions, and insurance
- You are not entitled to employee benefits (health insurance, paid leave, retirement benefits)
- You control your own schedule and decide when and how often to use the App
4.2 Your Responsibilities
As an independent contractor, you are responsible for:
- Vehicle ownership and maintenance: All costs of purchasing, leasing, maintaining, and repairing your vehicle
- Fuel and operating costs: Gasoline, oil, tolls, parking fees, and other operating expenses
- Insurance: Obtaining and maintaining adequate vehicle and liability insurance
- Taxes: Paying all applicable income taxes, VAT, and business taxes
- Compliance with laws: Following all traffic laws, regulations, and local ordinances
5. Account Registration and Security
5.1 Account Creation
To create a driver account:
- Download the Fleex Driver app from Google Play Store
- Complete the registration form with accurate information
- Upload required documents (driver's license, national ID, vehicle registration, insurance)
- Upload vehicle photos and profile photo
- Wait for admin verification and approval
You must provide true, accurate, current, and complete information. Providing false information is grounds for immediate account termination.
5.2 Account Security
You are responsible for:
- Keeping your login credentials confidential: Do not share your email and password
- Single-device policy: Logging in on a new device will automatically log out the previous device
- Unauthorized access: You are liable for all activities conducted through your account
- Reporting breaches: Immediately notify Fleex if your account is compromised
5.3 Account Sharing Prohibited
You may not:
- Share your account with other drivers
- Allow another person to drive using your account
- Use multiple accounts simultaneously
- Transfer or sell your account to another person
Violation of this policy will result in immediate account termination and potential legal action.
6. Driver Obligations and Conduct
6.1 Professional Conduct
When providing services, you must:
- Be courteous and respectful to passengers at all times
- Dress appropriately and maintain good personal hygiene
- Communicate clearly and professionally
- Assist passengers with loading and unloading luggage (when safe to do so)
- Follow passenger instructions for route preferences (within reason)
- Respect passenger privacy and confidentiality
6.2 Safety Requirements
For passenger safety, you must:
- Obey all traffic laws (speed limits, traffic signals, seat belt requirements)
- Do not drive while impaired by alcohol, drugs, or fatigue
- Do not use your phone while driving (except for navigation with hands-free mount)
- Ensure passengers wear seat belts before starting the ride
- Report accidents immediately to Fleex and local authorities
- Refuse unsafe requests (overloading vehicle, transporting dangerous items)
6.3 GPS Tracking and Fraud Detection
By using the App, you consent to continuous GPS tracking and fraud detection measures.
GPS Tracking Requirements:
- Background location must remain enabled at all times when you are online
- The App tracks your GPS coordinates every 10-60 seconds even when the screen is locked
- GPS data is logged and stored for 90 days for fraud investigation and billing verification
- You may not disable or interfere with GPS tracking while online
Fraud Detection and Prohibited Activities:
The following activities are strictly prohibited and will result in immediate account suspension:
- GPS Spoofing:
- Using fake GPS apps or location-spoofing tools
- Teleporting (moving unrealistic distances in short time periods)
- Manipulating GPS coordinates to inflate fares
- Mock Locations:
- Enabling "Mock Locations" in Android developer settings
- Using location-faking apps to simulate movement
- Route Manipulation:
- Deliberately taking longer routes to inflate metered fares
- Creating artificial stopped time by unnecessarily idling
- Ignoring passenger-requested routes without valid reason
Fraud Detection System:
- Speed checks: Movements faster than 150 km/h are flagged as suspicious
- Accuracy checks: GPS accuracy better than 1 meter may indicate mock location
- Coordinate validation: Exact (0,0) coordinates are rejected
- Teleportation detection: Impossible distance jumps are logged and investigated
- Pattern analysis: Repeated suspicious behavior triggers admin review
Consequences of GPS fraud:
- First offense: Warning and mandatory training
- Second offense: 30-day account suspension
- Third offense: Permanent account termination
- Severe cases: Legal action and potential criminal prosecution
6.4 Prohibited Conduct
You must not:
- Discriminate against passengers based on race, ethnicity, religion, gender, disability, or destination
- Harass or threaten passengers, other drivers, or Fleex staff
- Solicit tips or additional payments beyond the app-calculated fare
- Offer services outside the platform (attempting to bypass Fleex commission)
- Engage in illegal activities (transporting illegal goods, solicitation, etc.)
- Record passengers without their explicit consent (audio or video)
- Share passenger information with third parties
- Manipulate ratings (asking for 5-star ratings in exchange for benefits)
7. Ride Acceptance and Completion
7.1 Ride Requests
When you receive a ride request:
- You see: Pickup location, destination, distance, estimated fare, passenger name
- You have 30 seconds to accept or decline
- You are not required to accept every request
- Declined rides are recorded for analytics but do not result in penalties
7.2 Ride Progression
You must follow the correct ride workflow:
- Accept Ride: Tap "Accept" when you receive a request
- Navigate to Pickup: Use in-app navigation to reach the passenger
- Arrive at Pickup: Tap "I've Arrived" when you reach the location
- Passenger Boards: Tap "Start Ride" when the passenger is in the vehicle
- In Progress: Navigate to the destination using the app
- Complete Ride: Tap "Complete Ride" when you reach the dropoff location
- Rate Passenger: Provide a rating (1-5 stars) and optional feedback
7.3 Ride Cancellations
When You May Cancel:
- Passenger Not Responding:
- You waited 5+ minutes at pickup location
- Passenger does not answer calls or messages
- Effect: Ride is relaunched to other drivers
- Rider Requested Cancellation:
- Passenger verbally or via message asks you to cancel
- Effect: Ride is marked as cancelled
- Other Reason:
- Unsafe passenger behavior (intoxication, aggression)
- Vehicle breakdown or emergency
- Passenger destination violates terms (illegal activity)
- Effect: Ride is marked as cancelled (requires admin review)
Cancellation Penalties:
- Before pickup: No penalty if valid reason
- After passenger boards: May result in penalties or suspension
- Repeated cancellations (>20% rate): Account review and possible suspension
- Fraudulent cancellations: Immediate account suspension
8. Fare Calculation and Earnings
8.1 Fare Types
Fixed-Price Rides:
- Fare is predetermined before the ride starts
- Based on estimated distance and time
- Not affected by route taken or traffic delays
- Displayed to you when accepting the ride
Metered Rides (Open Rides):
- Fare is calculated based on actual distance and stopped time
- Uses GPS tracking to measure distance traveled and stopped time
- Fare updates every second in real-time
- Final fare may differ from estimate
8.2 Metered Fare Components
Metered fares are calculated based on multiple factors including:
- Distance traveled - Longer trips cost more
- Time spent - Including time stopped in traffic
- Demand conditions - Surge pricing may apply during peak hours
- Vehicle type - Different rates for cars, motorcycles, toktoktoks
Fare Details:
- Exact rates vary by ride type, vehicle category, time of day, and location
- Current fare breakdown is shown in the app BEFORE you accept each ride
- Fare configuration is controlled by Fleex and may change
- You will be notified of any significant rate changes
8.3 Commission Structure
Fleex retains a commission from each fare:
- Standard Commission: Percentage varies based on ride type, vehicle category, and region
- Earnings: You receive the remaining portion after commission is deducted
- Commission details are shown in the app for each ride before you accept

Commission rates are subject to change with 30 days' advance notice to drivers.
8.4 Payment and Payouts
Earnings Tracking:
- View real-time earnings in the App dashboard
- See daily, weekly, and monthly earnings summaries
- Track completed rides, average fare, and total distance
Payout Schedule:
- Earnings are paid on a regular schedule (frequency communicated to drivers)
- Payouts are deposited to your registered bank account
- Minimum payout threshold applies (specified in driver portal)
- Payout timing details are provided in the app
9. Ratings and Reviews
9.1 Passenger Ratings
After each ride, passengers can:
- Rate you 1 to 5 stars
- Leave written feedback (optional)
Your average rating is displayed to passengers and Fleex admin.
9.2 Rating Requirements
- You must maintain a minimum average rating
- Falling below the minimum triggers a warning and improvement plan
- Persistent low ratings may result in account suspension
10. Account Suspension and Termination
10.1 Suspension Reasons
Fleex may suspend your account for:
- GPS fraud or spoofing
- Low ratings (below minimum threshold)
- High cancellation rate (above acceptable limit)
- Safety violations (reckless driving, DUI)
- Harassment or discrimination
- Fraudulent activity (fare manipulation, fake rides)
- Document expiration (license, insurance, registration)
- Payment issues (chargebacks, disputes)
- Terms violation (any breach of these Terms)
10.2 Termination by You
You may voluntarily terminate your account at any time:
- Go to Settings > Account > Delete Account in the App
- Confirm deletion and provide reason (optional)
- Your account will be deactivated within 7 days
- Pending earnings will be paid within 30 days
Account deletion is permanent and cannot be undone. All ride history and data will be deleted after the retention period.
10.3 Appeal Process
If your account is suspended or terminated, you may appeal:
- Contact fleexrim@gmail.com with subject "Account Suspension Appeal"
- Provide evidence and explanation for the incident
- Fleex will review and respond within 7 business days
- Fleex's decision on appeal is final
11. Liability and Insurance
11.1 Driver Liability
You are solely responsible for:
- Personal injury or property damage caused by your driving
- Vehicle accidents involving your vehicle
- Theft or damage to passenger property
- Traffic violations and fines
- Legal disputes arising from your services
Fleex is not liable for any damages, injuries, or losses resulting from your provision of services.
11.2 Insurance Requirements
You must maintain:
- Commercial vehicle insurance covering ride-hailing and delivery services
- Minimum coverage amounts as required by Mauritanian law
- Proof of insurance must be uploaded to the App and kept current
Fleex does not provide insurance coverage for drivers. You are responsible for obtaining your own insurance.
11.3 Accidents and Incidents
If you are involved in an accident:
- Ensure safety: Check for injuries and call emergency services if needed
- Report to authorities: File a police report as required by law

- Document the scene: Take photos, exchange information with other parties
- Contact your insurance: File a claim with your insurance provider
Failure to report an accident to Fleex may result in account suspension.
12. Dispute Resolution
12.1 Informal Resolution
Before filing a legal claim, you agree to:
- Contact Fleex support at fleexrim@gmail.com
- Describe the dispute in detail
- Allow Fleex 30 days to investigate and respond
- Engage in good-faith negotiations to resolve the dispute
12.2 Governing Law
These Terms are governed by the laws of Mauritania, without regard to conflict of law principles.
13. Intellectual Property
13.1 Fleex Trademarks
All trademarks, logos, service marks, and trade names used in the App are the property of Fleex or third-party licensors.
You may not:
- Use Fleex Marks without written permission
- Modify, copy, or reproduce Fleex Marks
- Claim endorsement by Fleex
- Register domain names or social media handles using Fleex Marks
13.2 App License
Fleex grants you a limited, non-exclusive, non-transferable, revocable license to use the App for providing driver services.
You may not:
- Reverse engineer, decompile, or disassemble the App
- Copy, modify, or create derivative works of the App
- Rent, lease, sell, or sublicense the App
- Remove copyright or proprietary notices from the App
14. Privacy and Data Protection
Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference.
Key privacy points:
- Location tracking: Continuous GPS tracking when online (even with app closed or screen locked)
- Data retention: GPS checkpoints retained for 90 days, ride history for 7 years
- Data sharing: Location shared with passengers during rides, data shared with Fleex admin
- Your rights: Access, deletion, portability, and objection under GDPR

15. Modifications to Terms
Fleex reserves the right to modify these Terms at any time.
We will notify you of material changes by:
- Sending a push notification through the App
- Displaying a notice on the login screen
- Sending an email to your registered email address
- Updating the "Last Updated" date at the top of these Terms
Your continued use of the App after the effective date of the changes constitutes acceptance of the modified Terms.
If you do not agree with the changes, you must stop using the App and delete your account.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fleex regarding your use of the App and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
16.3 Force Majeure
Fleex is not liable for any failure to perform due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or technical failures.

- You consent to continuous GPS tracking when online
- You understand the fare structure, commission, and payout schedule
- You agree to provide professional, safe, and courteous service to passengers
- You accept liability for accidents, injuries, and damages arising from your services
- You may not engage in GPS spoofing, fraud, or other prohibited activities
If you do not agree to these Terms, you must not use the Fleex Driver app.
